Article 12 - Meetings

The General Meeting

The General Meeting is the maximum part of the Association, composed of all its employees. There are two types of Meetings: ordinary and extraordinary.

Ordinary General Meetings

A Meeting is held in an ordinary form once each year in the first fortnight of September, for the purpose of hearing the reports of the work of the President and Treasurer of the Board of Directors, as well as of the Oversight Office, and to elect, when appropriate, the members of the Board of Directors and the Oversight Office.

Extraordinary General Meetings

An Extraordinary General Meeting is held each time that the Board of Directors convenes it, or is solicited in a binding form by members who represent twenty-five percent of the total membership, or as well when the Oversight Office considers it necessary.

Both ordinary and extraordinary Meetings are convened through the office of the Secretary. This is done by means of letter, circular, or any other, ideally, written medium giving eight working days prior notice. The Meeting can convene on the first call with the concurrence of half the membership plus one member. If there are not the minimum number of members required, the meeting can be convened on a second call one hour later with the number of members present. However, in no case can the number of members present be less than ten.

In both ordinary and extraordinary Meetings, matters may be approved by no less than half the votes plus one of the members present, except in those cases that, by law or these bylaws, require the vote of two thirds of the members present in the Meeting.
