Article 19 - Powers of Members of the Board of Directors

The powers of the members of the Board of Directors are:

First

The President will be the judicial and extra-judicial representative of the Association with unlimited general powers. He or she will sign the minutes together with the Secretary; authorize, together with the Treasurer, payments that the Board of Directors agrees to and take the initiative in all the negotiations that the Association undertakes.

Second

It is the job of the Vice President to substitute for the President in his or her temporary absences, with the same obligations and powers.

Third

It is the job of the Secretary to prepare the minutes of the sessions of the General Meetings and Board of Directors and sign them along with the President, once they have been approved by the respective body. He or she should take them in good order. The Minute Book of the General Meeting, the Minute Book of the Board of Directors and the Registration Book of the Association must be authenticated by the Registrar of Associations. He or she will read the correspondence and deal with it as soon as possible. He or she will keep complete and orderly files.

Fourth

The Treasurer has the obligation to collect the fixed membership dues; to present monthly to the Board of Directors a detailed list of members in arrears, the payments made and the corresponding balance. He or she will be vigilant that the Association's accounts are paid punctually. He or she will take care of the Association's funds, depositing them in the name of the Association in a bank account of one of the banks of the National Banking System. Deposits, cheques or withdrawals will be made with the signatures of the President and the Treasurer. In the temporary absence of the President, the Vice President will sign. He or she must present an annual report to the Ordinary General Meeting and take, that day and in good order, the Expense Book, Receipts Book, Inventory Book, and Balance Book. He or she must be covered by a fidelity policy in accordance with Article 24 of the Associations Law and its revisions, to an amount set by the Ordinary General Meeting.

Fifth

The job of the Members at Large (the "Vocales") is to help with the tasks entrusted to them by the Board of Directors and to substitute temporarily according to its directive, when a member of the Board of Directors is absent, except for the President for whom the Vice President will substitute.
